Terms & Conditions

1. General
All orders are accepted and goods supplied subject to the following express terms and conditions (the Company’s standard conditions of sale). All other conditions, warranties, and representations, expressed or implied, statutory or otherwise, except as to title, are excluded to the extent permitted by law. Any order placed by a customer constitutes an offer to contract upon these terms and conditions, and no addition or variation shall apply unless expressly agreed in writing by the Company’s authorized representative.

2. Definitions
– “The Company” refers to Zelus Games.
– “The Customer” refers to the person or entity purchasing goods from the Company.
– “The Goods” refers to the products provided by the Company in accordance with these terms and conditions.

3. Orders
All orders are subject to the availability of goods and written acceptance by the Company’s authorized representative. Any prior confirmation by the Company via electronic or verbal communication is provisional.

4. Prices
(a) Catalogues, price lists, and other advertising materials are for general information and do not constitute binding offers. The Company reserves the right to correct any pricing errors.
(b) Quoted prices are based on the cost to the Company at the time of order and may be amended without notice if costs increase before delivery of the goods.

5. Manufacturer Specification
The Company is not liable for any loss or damage resulting from changes in the Manufacturer’s specifications or technical data. The Company will inform the Customer of any known impending changes.

6. Carriage and Delivery
Unless otherwise agreed, prices do not include delivery charges, and the Company reserves the right to charge for delivery.

7. Passing of Risk and Property
(a) Risk in the goods passes to the Customer upon delivery. The Customer must sign for the goods as “DAMAGED” if there is visible damage to the box, and report this within 48 hours. Otherwise, mark deliveries as “UNCHECKED.”
(b) Property in the goods remains with the Company until full payment is made.
(c) If full payment is not made, the Company may reclaim the goods without notice and without liability for any damage caused during reclamation.

8. Defects and Use
Zelus Games is not liable for any loss arising from the use of the goods. The Customer shall indemnify the Company against third-party claims related to the goods. Goods rejected as non-conforming must be reported in writing within 14 days of receipt, providing detailed reasons for rejection. Compensation, indemnity, or refunds are subject to Manufacturer or insurance company agreements.

9. Payment
All accounts are payable prior to shipping. This is without prejudice to any other legal rights or remedies available to the Company.

10. Dispatch
Dispatch times are estimates and not binding. The Company will not be liable for any consequential loss resulting from dispatch delays.

11. Refunds
Agreed credit notes or refunds will be processed within 30 days using the original payment method.

12. Customer’s Default and Cancellations and Re-scheduling of Deliveries
(a) The Company may cancel orders or suspend deliveries if the Customer breaches any obligations or becomes insolvent.
(b) Cancellation or re-scheduling requests must be in writing and are subject to the Company’s acceptance. The Customer shall indemnify the Company against all resulting losses and expenses.

13. Force Majeure
Zelus Games is not liable for cancellations or delivery delays caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, or supplier issues.

14. Non-Standard Goods
Goods are supplied according to the Manufacturer’s standard specifications. Orders for non-standard goods may incur additional charges and are not subject to cancellation or return.

15. Severability
If any provision of these terms is deemed illegal or unenforceable, the remaining provisions remain in full force and effect.

16. Waiver
A waiver of any breach of these terms does not constitute a waiver of any subsequent breach.

17. Software
(a) Software is supplied under the license of the proprietary owner. Title or ownership does not transfer to the Customer.
(b) The Customer must comply with the software license terms.
(c) Zelus Games is not responsible for any 3rd party app software issues.

18. Assignment
The Customer may not assign or transfer the agreement without the Company’s prior written consent.

19. Jurisdiction and Applicable Law
The English courts have jurisdiction over any claims related to these terms. These terms and any related disputes are governed by the laws of England and Wales.

20. Returns
Returns require an RMA number. Non-consumer contracts are subject to restocking fees and return conditions. Under the Distance Selling Regulations, consumers can cancel orders within 7 days for a full refund, excluding customized items. Returns must be in original packaging and condition, and the Customer is responsible for return shipping costs.
